Finance NYC intends to employ a portion of the capital it raises from this offering as a merchant banking participant pari passu with its investor clients in certain of its issuer client transactions. The funds will be used to either bridge a final closing transaction before the offering process has been completed or simply as an initial direct equity capital commitment on behalf of the shareholders of Finance NYC.

The Company believes that it can dramatically differentiate itself from the growing myriad of competitors through the effective investment of this mini-equity fund exclusively targeted to financing issuer client transactions. Based on the expected successful results of this targeted investment strategy, the Company intends to sponsor future follow-on fund formations.
